100,000 shares of Series C Preferred Stock issued by AIG
On March 4, 2009 American International Group, Inc. (AIG) issued 100,000 shares of Series C Perpetual, Convertible, Participating Preferred Stock to the AIG Credit Facility Trust, a trust established for the sole benefit of the United States Treasury.

Thus the issuance means a change of control of AIG, as the Series C Preferred Stock holds approximately 77.9 percent of the aggregate voting power of the AIG common stock.

In a most recent Annual Report of AIG on Form 10-K, the shares of Series C Preferred Stock were issued pursuant to the Series C Perpetual, Convertible, Participating Preferred Stock Purchase Agreement, dated as of March 1, 2009, between the Trust and AIG, and in accordance with the Credit Agreement, dated as of September 22, 2008, between AIG and the Federal Reserve Bank of New York.
